These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tereda Software LLC, a Connecticut limited liability company ("Tereda Software," "Company," "we," "us," or "our"). These Terms govern your access to and use of our websites, mobile applications, software products, and related services (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
1. Acceptance of Terms
By creating an account, downloading our applications, or otherwise accessing our Services, you represent and warrant that:
- You are at least 18 years of age or the age of legal majority in your jurisdiction;
- You have the legal capacity and authority to enter into these Terms;
- You will comply with all applicable laws and regulations in connection with your use of the Services;
- All information you provide to us is accurate, current, and complete.
2. Description of Services
Tereda Software develops and publishes software applications, including but not limited to:
- ZAFTO Electrical: A mobile reference application providing electrical calculations, code references, wiring diagrams, and related tools for professional electricians.
- Additional Products: Other software applications as developed and released by Tereda Software.
Our Services are designed as reference tools and informational resources. They are not intended to replace professional training, licensing requirements, code books, or the judgment of qualified professionals.
3. Important Disclaimers for Professional Tools
3.1 Reference Tool Only
Our applications, including ZAFTO Electrical, are reference tools only. They are designed to assist qualified professionals but are NOT a substitute for:
- Professional electrical training, education, or licensing;
- The National Electrical Code (NEC) codebook or other applicable codes;
- Local amendments, ordinances, or jurisdiction-specific requirements;
- Professional engineering judgment;
- Consultation with licensed professionals;
- Verification by the Authority Having Jurisdiction (AHJ).
3.2 Code Variations
Electrical codes vary significantly by jurisdiction. The NEC is adopted differently by each state, county, and municipality, often with local amendments. Always verify requirements with your local AHJ before performing any electrical work. The information in our applications reflects specific code versions and may not reflect requirements in your jurisdiction.
3.3 No Professional Advice
Nothing in our Services constitutes professional electrical advice, engineering advice, legal advice, or any other form of professional advice. Do not rely solely on our applications for life-safety decisions. Incorrect electrical work can result in fire, electrocution, property damage, injury, or death.
3.4 User Responsibility
You are solely responsible for:
- Verifying all calculations, references, and information against authoritative sources;
- Ensuring compliance with all applicable codes, standards, and regulations;
- Obtaining all required permits and inspections;
- Using appropriate safety equipment and procedures;
- Any work performed based on information from our Services.
4. License Grant
4.1 Limited License
Subject to your compliance with these Terms, Tereda Software grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.
4.2 Restrictions
You may not:
- Copy, modify, distribute, sell, or lease any part of our Services;
- Reverse engineer, decompile, or disassemble our software;
- Remove or alter any proprietary notices or labels;
- Use the Services to develop competing products;
- Use automated systems to access the Services without permission;
- Sublicense, rent, or transfer your rights to use the Services;
- Use the Services for any unlawful purpose.
5. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of Tereda Software LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
"Tereda Software," "ZAFTO," and related logos and marks are trademarks of Tereda Software LLC. You may not use these marks without our prior written permission.
6. User Accounts
If you create an account with us, you are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activities that occur under your account;
- Notifying us immediately of any unauthorized use.
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.
7. Payment Terms
Certain Services may require payment. By purchasing paid Services, you agree to pay all applicable fees as described at the time of purchase. All payments are non-refundable except as required by applicable law or as explicitly stated in our refund policy.
Purchases made through third-party platforms (such as Apple App Store or Google Play Store) are subject to the payment terms and refund policies of those platforms.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TEREDA SOFTWARE DOES NOT WARRANT THAT:
- The Services will meet your requirements or expectations;
- The Services will be uninterrupted, timely, secure, or error-free;
- The results obtained from using the Services will be accurate, reliable, or complete;
- Any errors in the Services will be corrected;
- The Services will be compatible with your devices or systems.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEREDA SOFTWARE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Damages for loss of profits, goodwill, use, data, or other intangible losses;
- Personal injury or property damage arising from your use of the Services;
- Any unauthorized access to or use of our servers or any personal information;
- Any interruption or cessation of transmission to or from our Services;
- Any bugs, viruses, or other harmful code transmitted through our Services;
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Services.
IN NO EVENT SHALL TEREDA SOFTWARE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO TEREDA SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10. Indemnification
You agree to defend, indemnify, and hold harmless Tereda Software LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:
- Your use of the Services;
- Your violation of these Terms;
- Your violation of any third-party rights;
- Any work you perform based on information from the Services;
- Your violation of any applicable law or regulation.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions.
11.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration or litigation as set forth below.
11.3 Arbitration
You agree that any dispute arising from these Terms or your use of the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Hartford County, Connecticut. The arbitrator's decision shall be final and binding.
11.4 Class Action Waiver
YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through our Services or by other means. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Terms.
13. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Tereda Software LLC regarding the Services.
